NORTH AND JAMESON CLARK GRAND OPENING GIVEAWAY
OFFICIAL RULES

The North and Jameson Clark Grand Opening Giveaway (the “Giveaway”) is intended for play and participation only in the United States, its territories and possessions and shall be construed and evaluated according to the laws of the State of Ohio and the United States, without regard to conflict of law principles. See below for additional eligibility requirements.

NO PURCHASE NECESSARY, BUYING WILL NOT HELP YOU WIN. Your chances of winning without making a purchase are the same as the chances of someone who purchases something.

1. THE GIVEAWAY:

These official rules (the “Official Rules”) shall govern the Giveaway. The Giveaway begins at 12:01 AM Eastern Daylight Time (“EDT”) on November 15, 2025 and ends on December 8, 2025 at 11:59 PM EDT (the “Giveaway Period”). Winners will be drawn on or before December 6, 2025. The Giveaway is sponsored and is administered by Clark Brands, LLC, 750 Warrenville Rd, Suite 301, Lisle, IL 60532 (“Sponsor”).

2. TO ENTER:

By entering the Giveaway the entrant agrees to be bound by the terms of these Official Rules. You may enter in the following ways:

During the Giveaway Period the Giveaway may be entered by: a) Hand printing your full name and phone number on the Grand Opening Coupon offer received in the mail and dropping off the coupon at the North and Jameson Clark location at 1101 West North Street, Lima, OH 45805 (the “Location”); b) On a 3×5 piece of paper hand printing or typing your full name, phone number, and age (including year of birth) and sending it by United States mail, postage prepaid and in a sealed envelope addressed to the Location; or c) Visiting the Location and requesting an entry form, on which you hand print or type your name, phone number and age (including year of birth).

Mail entries should be sent early enough to assure receipt by the Sponsor before the end of the Giveaway Period, as entries received following the close of the Giveaway Period will not be considered. Limit one (1) entry per person, during the Giveaway Period. All entries become the property of Sponsor and will not be acknowledged or returned. Sponsor will not be responsible for incomplete, late, lost, misdirected, illegible, postage-due or late entries.

Only one entry per person. Multiple entries will result in disqualification of the entrant.

3. PRIZES:

One person will be selected as the winner of the grand prize, $3,000 in Clark Crown gift cards, distributed in the form of twelve (12) $250 gift cards.

Other major prizes include (number of winners indicated): (1) Yeti “Roadie” 60 Wheeled Cooler and (2) Televisions. Additional prizes include (number of winners indicated): (12) Clark beverage tumblers, (5) battery solar charge back-ups, (25) bottle openers, (3) Clark brandy snifter 4 packs, (12) Clark Crown Swiss Army knives, (10) Clark baseball caps, (6) Clark men’s T-shirts, and (6) Clark women’s T-shirts.

The total approximate retail value of the grand prize is $3,000. The total approximate retail value of all prizes is $5,000.

Sponsor will notify the winners by phone. The grand prize will be delivered via overnight courier. Delivery signature of acceptance of the grand prize is required. All other prizes will be available for pickup at the Location for a period of thirty (30) days following winner notification. Winners will be required to present a valid government issued photo ID at the Location and to acknowledge receipt by signature in order to receive their prize. Prizes not picked up at the Location within thirty (30) days of notification will be forfeited.

Winners of prizes valued at $600 or more will be required to present additional information required to complete an IRS form 1099-MISC, including their full legal names, taxpayer TIN, and home address.

Prizes may not be substituted, transferred or redeemed for cash except at the sole discretion of Sponsor. In case of prize unavailability, Sponsor reserves the right to substitute a prize of equal or greater value. All applicable federal, state, and local taxes on the prizes are the sole responsibility of the winners. The winners of prizes valued at $600 or more will be issued an IRS 1099 – Misc form. Sponsor is not responsible for unclaimed, lost or misdirected prizes or for postal or shipping damage, errors, strikes or delays.

4. ELIGIBILITY:

The Giveaway is open to legal residents of the United States, its territories and possessions, who must be 18 years of age and older at the time of entry. Employees of Sponsor, Sponsor’s affiliates, and their immediate family and household members are not eligible to enter or win.

5. RELEASE AND LICENSE:

By entering, entrant agrees to release, defend, hold harmless and indemnify the Sponsor and its parents, subsidiaries, affiliates, contractors, directors, officers, governors, employees and agents against any and all liability, damages or causes of action (however named or described), with respect to or arising out of any injuries, losses, or damages of any kind caused by the acceptance, possession, use or misuse of a prize awarded in the Giveaway, including but not limited to any claims for damage to property, personal injury, death or claims based on defamation, rights of privacy, rights of publicity or merchandise delivery.

The Sponsor shall not be liable to winner or any person claiming through winner for failure to supply the prize or any part thereof, by reason of any acts of God, any action(s), regulation(s), order(s) or request(s) by any governmental or quasi-governmental entity (whether or not the action(s), regulation(s), order(s) or request(s) prove(s) to be invalid), equipment failure, terrorist acts, earthquake, war, fire, flood, explosion, unusually severe weather, hurricane, embargo, labor dispute or strike (whether legal or illegal) labor or material shortage, transportation interruption of any kind, work slow-down, civil disturbance, game cancellation, insurrection, riot, or any other cause beyond the sole control of the Sponsor.

The Sponsor is not responsible for any printing or typographical errors in these Official Rules or any other materials associated with the Giveaway. Entrants enter at their own risk and the Sponsor is not responsible for and shall not be liable for any condition caused by events beyond their control that may cause the Giveaway to be disrupted.

6. GENERAL:

Sponsor reserves the right, in its sole discretion, to amend, change, cancel or suspend the Giveaway and randomly award the prize from among eligible entries received at the time of such action, should a virus, bugs, malicious tampering or other causes beyond the control of Sponsor corrupt the administration of proper execution of the Giveaway.

Sponsor reserves the right, at its sole discretion, to disqualify anyone found or suspected to be: 1) tampering with the entry process or the operation of the Giveaway, or 2) acting in violation of these Official Rules.

Sponsor reserves the right to amend or change the Official Rules at any time, in its sole discretion. Amendments will be posted on the Sponsor’s website https://clarkbrands.com/north-jameson-giveaway-official-rules. By entering the Giveaway after the amendment of the Official Rules, the entrant consents to be bound by the amendments.

7. WINNER LIST:

A listing of the winners’ names may be obtained from Sponsor by written request to: Attn: Contest Administrator; Clark Brands, LLC; 750 Warrenville Rd, Suite 301, Lisle, IL 60532.

8. DATA COLLECTION:

Sponsor may collect certain personal data about participants when they enter the Giveaway. Personal information collected will be subject to the privacy policy of the Clark Crown mobile consumer loyalty application, which can be found at http://www.clarkbrands.com/privacy/. By participating in the Giveaway, entrants hereby agree to all of the terms and conditions of the privacy statement of the Sponsor.

9. CHOICE OF LAW; LIMITATIONS:

Under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim, punitive, incidental or consequential damages, or any other damages, including attorneys’ fees, other than entrant’s actual out-of-pocket expenses (i.e., costs associated with entering this Giveaway), and entrant further waives all rights to have damages multiplied or increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of Giveaway participants and Giveaway Entities in connection with the Giveaway, shall be governed by, and construed in accordance with, the substantive laws of the State of Illinois, without regard to Illinois’s choice of law rules. All proceedings relating in any manner to the Giveaway shall take place in the state and federal courts located in Cook County, Illinois.
